The membership of Central Region Cooperative approved the amenments to its Articles of Incorporation and Bylaws at the special meeting on April 12, 2018. Read the Announcement

Central Region Cooperative is proposing Amendments to its Articles of Incorporation and Bylaws, which are the governing documents of your cooperative. It has been nearly 10 years since the Articles and Bylaws were updated. The Amended Articles and Bylaws were mailed to all CRC members on March 20th. Below is a copy of the documents mailed in additon to you ballot, ballot envelope and return envelope:
Among the changes in the Bylaws is the ability to establish districts for Director elections. CRC has grown in size and would like to consider districts so that each area of the trade territory has a Director connected to that area. There are several other changes designed to protect voting rights, simplify patronage distributions, and give the cooperative the flexibility it needs to remain competitive in today’s marketplace. Please refer to the freqeuntly asked questions for more information about the proposed changes. Below is also a copy of our current Articles of Incorportation and Bylaws.
A Special Meeting of the members will be held on April 12, 2018 at 4:00p.m. at Central Region Cooperative, 27875 County Road 27, Sleepy Eye, Minnesota 56085. The Special Meeting has been called for the purpose of approving the Amendments to the Articles and Bylaws. The Board of Directors also approved you voting on these Amendments by mail.
Instructions on how to vote:
1. On the ballot, place an “X” in the appropriate box to designate your vote;
2. Place your ballot inside the envelope labeled “BALLOT ENVELOPE”;
3. Place your “BALLOT ENVELOPE” inside the postage paid envelope with Central Region Cooperative’s address on it; and
4. Place the postage paid envelope in the mail, so that it is received by no later than 4:00 p.m. on April 12, 2018.
If you prefer, you may instead vote in person at the Special Meeting on April 12, 2018. If you vote by mail ballot, you are not permitted to change your vote in person at the Special Meeting.
Informational Meetings to explain the proposed Amendments to the Articles and Bylaws, and to answer any member questions, will be held on April 5, 2018 at the following times and locations:
